Please note that the Website and Services are currently in beta testing. By accessing or using the Website or Services, you acknowledge that they are being provided “as is” and “as available” and may contain bugs, errors, or other limitations. You are participating in a test of the platform and agree to provide feedback, if requested, on your experience. While you may benefit from using the Website and Services during the beta testing period, you acknowledge that they are not yet fully developed and may change significantly.

1. Introduction and Acceptance

  • Purpose: This agreement (“Terms of Use”) governs the use of InnoMinds (the “Website”) and the services provided through the Website (the “Services”). The Website is owned and operated by Ali Toosi (“we,” “us,” or “our”).
  • Definitions:
    • “Website” means InnoMinds and all associated webpages, subdomains, content, and functionality.
    • “Services” means the services provided through the Website, including the facilitation of connections between Students and Businesses for research purposes.
    • “Student” means a registered user of the Website who is seeking to conduct research with Businesses.
    • “Business” means a registered user of the Website who is seeking to share case studies with Students for research purposes.
    • “Content” means any information, data, text, images, videos, or other materials posted on or transmitted through the Website.
  • Acceptance: By accessing or using the Website or Services, you (“you” or “User”) agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you may not access or use the Website or Services.  

2. User Accounts and Conduct

  • Account Creation: To access certain features of the Website or Services, you may be required to create an account. You must provide accurate and complete information when creating an account and are responsible for maintaining the confidentiality of your account credentials. You are solely responsible for all activities that occur under your account.  
  • Acceptable Use: You agree to use the Website and Services only for lawful purposes and in a manner that does not violate these Terms of Use or any applicable laws or regulations. You specifically agree not to:
    • Post or transmit any Content that is illegal, offensive, defamatory, infringing, or harmful
    • Engage in any activity that could disrupt or interfere with the Website or Services, such as spamming, hacking, or data scraping
    • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
    • Use the Website or Services to solicit personal information from minors or to harm or exploit minors in any way
    • Violate the privacy of any third party
    • Use the Website or Services for any commercial purpose, unless expressly authorised by us

3. Student and Business Interactions

  • Case Studies: Businesses may share case studies on the Website for research purposes by Students
  • Proposals: Students may submit research proposals to Businesses based on their case studies Students are solely responsible for the content and scope of their proposals
  • Liability: We are not liable for any interactions, agreements, or disputes between Students and Businesses, including any data transfer, breach of confidentiality, or illegal activity. Students and Businesses are solely responsible for their own conduct and compliance with applicable laws and regulations.
  • Interviews: Businesses agree to provide at least two interview sessions (minimum 30 minutes each) to Students whose proposals they accept
  • No Payment or Employment: Businesses shall not pay Students for the research scope provided in a proposal, and Students acknowledge that their research activities do not create an employment relationship with the Business
  • International Students: International Students acknowledge that their use of the Website and Services must comply with any applicable visa or immigration restrictions
  • Further Collaboration: Any further agreement (including employment, internship, etc.) beyond the scope of the initial research is not guaranteed by InnoMinds and is solely based on the decision of businesses and students

4. Intellectual Property Rights

  • Website Ownership: We own all rights, titles, and interests in and to the Website, including all Content
  • Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Website and Content for personal, non-commercial purposes
  • User-Generated Content: Innominds retains ownership of any Content you post on the Website

5. Disclaimers and Limitations of Liability

  • Website Availability: We do not guarantee that the Website or Services will be available at all times or that access will be uninterrupted or error-free
  • Content Accuracy: We do not guarantee the accuracy, completeness, or reliability of any Content on the Website, nor the final reports provided by Students
  • Third-Party Links: The Website may contain links to third-party websites. We are not responsible for the content or practices of these websites
  • Limitation of Liability: To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Website or Services.  

6. Termination

  • Termination by Us: We may terminate or suspend your account or access to the Website or Services at any time for any reason, including violation of these Terms of Use
  • Termination by You: You may terminate your account at any time by contacting us

7. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Use are governed by and construed in accordance with the laws of the United Kingdom
  • Dispute Resolution: Any dispute arising out of or relating to these Terms of Use will be settled through negotiation

8. Modifications to the TOU

  • Modification by Us: We may modify these Terms of Use at any time. We will post the updated Terms of Use on the Website and may notify you by email
  • Your Acceptance: Your continued use of the Website or Services after the posting of the updated Terms of Use constitutes your acceptance of the changes
